Reportwell, Inc. ("Reportwell," "we," "us," or "our") values your privacy. This Privacy Policy explains how we collect, use, share, and protect your Personal Information (as defined below). This Privacy Policy describes the types of information we may collect from you or that you may provide when you use our product, and any other Reportwell owned or operated websites (including mobile sites) (collectively, the “Site”), mobile applications, widgets and/or any interactive features other online services controlled by Reportwell that post a link to this Privacy Policy or otherwise reference that this Privacy Policy applies to information collected through the Site, application or other features or services (all of the foregoing collectively referred to as “the Service”), and our practices for collecting, using, maintaining, protecting, and disclosing that information. However, to the extent that any activities or information are governed by the Family Educational Rights and Privacy Act (FERPA) and/or other federal and state law, such laws will govern and such activities and information are outside the scope of this Privacy Policy.
This Privacy Policy does not apply to our handling of information collected from other users, such as companies, educational institutions, local and state agencies, charter schools or other third parties (collectively, “Businesses”). Data and information collected through such activities are governed by the Businesses’ privacy policies as well as Reportwell’s agreement(s) with such Businesses. Your use of the Service and any information you provide on the Service are subject to the terms of this Privacy Policy, which is incorporated into and subject to our Terms of Service.
NOTICE AT COLLECTION
Before using the Service or submitting any Personal Information to Reportwell, please review this Privacy Policy carefully and contact us if you have any questions. By using the Service, you agree to the practices and specifically the collection, disclosure, use and retention of Personal Information described in this Privacy Policy. If you do not agree to this Privacy Policy, please do not access the Site or otherwise use the Service.

We collect information you provide to us, as well as information collected automatically and from third-party sources as described below. For the purpose of this policy, “Personal Information” is defined as information that identifies, relates to or could reasonably be linked with or describes an individual or household, either directly or indirectly.
Data You Provide to Us: To use the Service, you are required to create an account. During the account creation process, we will collect certain information to establish and manage your account effectively. This information may include, but is not limited to, your name, email address, and phone number. In addition, we collect information that you provide directly to us through the product, customer service interactions, and chat functionality within the platform.
Data from third-party sources: We receive information from third parties who provide services that enable specific functionality within our product. For example, when you choose to sign in with a single sign-on provider, we may receive certain information about you from that provider, such as your name and email address, as permitted by their privacy policies and your account settings with them; this information helps us to create and manage your account with our services. Additionally, we use a third-party onboarding service that provides us with information about how you interact with the service.
Data collected automatically: When you use our services, we may use cookies and similar technologies to deliver the services and better understand how you use the product. For more information on cookies and similar technologies, please see the Cookies and Similar Technologies section below.
HOW WE USE YOUR PERSONAL INFORMATION
We use commercially reasonable efforts to limit the data we process and collect from users of the Service to only what is required to deliver the services. This includes:

Research and Development: We may aggregate Personal Information and use the aggregated and de-identified information to analyze the effectiveness of the Service, to improve and add features to the Service, gain anonymous insights into product and brand performance on the Service, and for other business purposes. In addition, from time to time, we may analyze the general behavior and characteristics of Users and share aggregated information like general user statistics with prospective business partners.
Communications and Marketing: We may use your Personal Information, such as your email address, to contact you to provide the Service and communicate related information. If you provide your telephone number, you acknowledge and agree that we may contact you, including but not limited to for promotional, informational and other purposes, using SMS text messages, cellular or telephone calls, and push notifications (if applicable) even if you have opted in to the US National Do Not Call List, any state equivalent Do Not Call List or the internal Do Not Call List of any business, and that such messages and calls may be sent using automatic dialing systems or artificial or prerecorded voice messages.
How Long We Keep Your Information: We will only keep your Personal Information for as long as it is reasonably necessary for the purposes set out in this Privacy Notice, unless a longer retention period is required or permitted by law (e.g., tax, accounting, or other legal requirements). When we have no ongoing legitimate business need to process your Personal Information, we will either delete or anonymize such information, or, if this is not possible (for example, because your Personal Information has been stored in backup archives), then we will securely store your Personal Information and isolate it from any further processing until deletion is possible.
The Service is free of advertising, including contextual and personalized ads. Additionally, we do not solicit user participation in third-party sweepstakes, contests, or promotional activities. We may, with your consent, send you first-party marketing communications about our services, from which you can opt out at any time.
HOW WE SHARE YOUR PERSONAL INFORMATION
As part of providing the Service, we may share data with third party vendors who process information to help us provide the Service. This includes product functionality, analytics, implementation, research, and product improvement.

For the avoidance of doubt, we never sell personal data from our service and we do not share data with third parties for their own marketing, advertising purposes, or creating advertising profiles.
If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, dissolution, sale of all or a portion of our assets, or transition of service to another provider (collectively and each a “Transaction”), your Personal Information and other information may be shared in the diligence process with counterparties and others assisting with a Transaction and transferred to a successor or affiliate as part of or following that Transaction along with other assets.
We may disclose information, including personal information, if we have a good faith belief that doing so is necessary to comply with the law, such as complying with a subpoena or other legal obligation.
The Service may contain a community forum and message board where users are able to create profiles, writings, reviews, photographs, ideas, videos, audio recordings, pictures, data, or other content, including Personal Information (collectively, “User Content”). The Service may display, reproduce, publish, distribute or otherwise use User Content online or offline in any media or format (currently existing or hereafter developed) and may or may not attribute it to you. Others may have access to this User Content and may have the ability to share it.
We may share certain Personal Information with one an educational institution with which you are associated in order to provide the Service.
We may share your Personal Information at your discretion, including when you submit a product review using a third-party service or otherwise direct us to disclose your Personal Information to a third party. We may also share your Personal Information with your consent.
OPTING OUT; CHANGING OR DELETING YOUR PERSONAL INFORMATION
You can choose the types of communications you wish to receive from us, change your information or request that we delete certain information at any time, as follows:
Opt Out From Receiving Communications. If you do not wish to receive communications from us that does not relate directly to your use of the Services (such as newsletters, event notifications or other marketing communications), you can opt out from receiving such communications at any time. We provide a link in all of our electronic marketing communications to allow you to easily “unsubscribe” to these communications. You can also notify us that you do not wish to receive further communications by sending us your request as set forth in the “Contact Us” section below. Please note that, in connection with your use of the Services, including the Site, we will still need to send you certain notifications that relate directly to your use of the Services, such as technical notices, updates, service notifications, security alerts, billing and administrative messages, and will need to communicate with you to provide you with support.
Change Your Information. You can change or update your information with us at any time. To change or update your information, please send us your request as set forth in the “Contact Us” section below. However, if your information has been provided to us by a third party, updates to certain information on your account must be requested by such entity.
Delete Your Information. You can request that we delete your information at any time, subject to certain exceptions as discussed below. If you would like to have your information deleted, please send us your request as set forth in the “Contact Us” section below. We will comply with your request within a reasonable period of time; however, in certain circumstances, we may not be able or required to delete all of your information. For example, if we have provisioned a user account for you and you intend to continue to use portions of the Services requiring access through said account, we must retain certain information in order to maintain your account and your access to the Services. We also retain certain information if required in connection with our performance of a contract (such as a license agreement between us and your employer), if required by law or relevant to a legal proceeding, or for other compliance or auditing purposes, as permitted by law. Please note that we may obtain information about you in the future, as discussed under the heading “Data from third-party sources,” and we may not be able to recognize it as your information due to complying with a previous deletion request from you. In this case, you will need to submit a new request if you wish to have your re-added information deleted. In addition, if we have deidentified, anonymized or aggregated data such that it no longer identifies or relates to you, we may retain and use that information for any lawful purpose.
Payment Processing:
We utilize third-party service providers that act as resellers of, and/or payment processors for the fees payable for, licenses to certain of our Services and/or content that may be purchased through our Services (each, a “Payment Processor”). In order to purchase such Services through our Services, you will be required to provide credit/debit card and/or financial institution account information directly to the Payment Processor. Such information is not collected or stored by us.
YOUR CHOICES
To use our Products and Services, users are required to create an account. During the account creation process, we will collect certain information to establish and manage your account effectively. Our platform is equipped with access control mechanisms, allowing you to define, manage permissions for your data, and control any information you provide to us. Certain account controls may be accessible only to account administrators.
OTHER SITES AND SERVICES
The Service may contain links to websites, mobile applications, and other online services operated by third parties. These links are not an endorsement of, or representation that we are affiliated with, any third party. In addition, our content may be included on web pages or in mobile applications or other online services that are not associated with us. We do not control websites, mobile applications or online services operated by third parties, and we are not responsible for their actions.
COOKIES AND SIMILAR TECHNOLOGIES
Our Product may use cookies or similar technologies to help you personalize your online experience. A cookie is a text file that is placed on your device browser that stores preferences to facilitate and enhance your experience. For example, if you register with our Product or Services, a cookie helps our product to recall your specific information on subsequent visits. For clarity, we do not use third-party cookies on our service for personalized advertising or to track users and display personalized advertisements on other third-party websites or services. Necessary cookies: Enable the core operation of our Products and Services and cannot be switched off in our systems. They include cookies that we use to help control secure areas of our site and to make sure it is accessible to you. We do not track our users across third party websites to provide targeted advertising and therefore do not respond to Do Not Track (DNT) signals from web browsers.

SECURITY
When we process your information, we implement reasonable and appropriate administrative, technical, and physical safeguards to help protect it from unauthorized access, use, or disclosure. For example, all data is encrypted in transit and at rest, and we offer multi-factor account protection. However, no Internet or email transmission is ever fully secure or error free, and you should use the Service at your own risk. In particular, e-mail sent to or from us may not be secure. Therefore, you should take special care in deciding what information you send to us via the Service or e-mail. We highly encourage that you send emails to us through an encryption service or through Confidential Mode. In addition, we are not responsible for circumvention of any privacy settings or security measures contained on the Service, or third party services.
In the event of a data breach, we will make reasonable efforts to notify affected users in accordance with applicable laws and regulations.
We retain personal information only as long as necessary for the purposes for which it was collected. If you cancel or terminate your account, your data may also be deleted. In some cases, we may retain personal data beyond the length of time that you have an account with us in order to resolve disputes, comply with legal and compliance obligations, or otherwise. Anonymized data, which is no longer attached to you personally, may be retained for longer periods of time.
YOUR PRIVACY RIGHTS
Where provided for by law and subject to any applicable exceptions, residents of certain states may have additional rights. If you live in a state that has implemented its own privacy law (e.g., California and the California Consumer Protection Act), you may have such rights. These rights are not absolute, and in some cases, they may not apply, including if a legal exception applies. If this is the case, we will not be able to process your request. The rights include:
Right to Know: The right to request that we disclose to you the Personal Information we collect, use, or disclose, and information about our data practices.
Right to Request Correction: The right to request that we correct inaccurate Personal Information that we maintain about you.
Right to Request Deletion: The right to request that we delete your Personal Information that we have collected from or about you.
Right to Opt Out of Targeted Advertising: The right to opt out of the processing of your Personal Information obtained from your activities on nonaffiliated websites or online applications for the purposes of targeted advertising.
Right to Non-Discrimination: The right not to receive discriminatory treatment for exercising your privacy rights.
Right to Limit Use and Disclosure of Sensitive Information: In some cases, you may have the right to ask that we limit the way we use your Personal Information. In some cases, you can exercise this right by asking that we delete your Personal Information. You may also have the right to object to how we process Personal Information, or to withdraw your consent if our use is based on consent.
For purposes of this section, “personal information” has the meaning given to “personal data”, “personal information” or similar terms under the applicable privacy laws of the state in which you reside. Please note that not all rights listed below may be afforded to all users and that if you are not a resident of the relevant states, you may not be able to exercise these rights. In addition, we may not be able to process your request if you do not provide us with sufficient detail to allow us to confirm your identity or understand and respond to it.
Verification: Upon receipt of your request, we will initiate the identity verification process to confirm that you are the individual for whom we hold information in our system. This verification procedure necessitates your cooperation in supplying relevant information, allowing us to compare it with the details you previously furnished. Depending on the nature of your request, we may request specific information to align with our existing records, or we may reach out to you using a previously provided communication method (such as phone or email). In certain situations, alternative verification methods may be employed based on the circumstances.
Any personal information disclosed in your request will solely be utilized for the purpose of confirming your identity or validating your authority to make the request. We will make every effort to minimize the need for additional information for verification purposes. However, should it be impossible to verify your identity with the existing information in our records, we may request additional details to ensure security and prevent fraud. Any supplementary information you provide for verification will be promptly deleted upon the completion of the verification process.
Authorized Agents: Your authorized agent may be able to make a request on your behalf. However, we may need to verify your authorized agent’s identity and authority to act on your behalf. We may require a copy of a valid Power of Attorney given to your authorized agent pursuant to applicable law. If you have not provided your agent with such a Power of Attorney, we may ask you to take additional steps permitted by law to verify that your request is authorized, such as by providing your agent with written and signed permission to exercise your rights on your behalf, the information we request to verify your identity, and confirmation that you have given the authorized agent permission to submit the request.
Access: You can request a copy of the personal information that we have collected about you.
Correction: You can request that we correct inaccurate personal information that we have collected about you.
Deletion: You can request that we delete your personal information. Please note that once we process a deletion request, we may be unable to provide access or support to any past products or services.
Please note that some of these rights may be limited where we have an overriding interest or legal obligation to continue to process the personal information or where certain exemptions apply. If we decline your request, we will tell you why, subject to legal restrictions. Be advised that any student data that we process on behalf of schools will remain under the control of the respective governmental agency and school. To request access to, modification of, or deletion of student records, please contact the governmental agency or school that maintains those records directly.
You have the option to opt out of certain tracking activities related to targeted advertising, also known as interest-based advertising. Under the CCPA, this is considered the 'sharing' of your personal information with advertising partners. Please note that Reportwell does not share user information with advertising partners or track users of the platform for this purpose.
Additionally, you have the right to request details about the categories and specific pieces of personal information we have sold, shared, or disclosed to a third party for a business purpose, as well as the right to opt out of that sharing. Please note that we do not sell or share data with third parties for their own business purposes.
CHILDREN'S PRIVACY NOTICE
Our service is not designed for use by children under 13, teens, or students. If we discover that we have collected personal information from a child under 13 without verifiable parental consent, we will take steps to delete that information. If you believe that we might have any Personal Information from a child under the age of 13, please contact us as set forth in the “How to Contact Us” section below.
In providing our services to governmental agencies and schools, we may process student records as entered by and on behalf of educational institutions. We process this data in compliance with the Family Educational Rights and Privacy Act (FERPA) and only process student records at the direction of the governmental agencies and schools. Student records processed by us on behalf of agencies and schools remain under the control of the respective governmental agencies. To request access to, modification of, or deletion of student records, please contact the school or governmental agency that maintains those records directly.
We process student information in accordance with the following standards.
We collect, maintain, use and share student records only for an authorized educational purpose and at the direction of schools and governmental agencies that provide us that information.
We do not use or disclose student records for targeted advertising or any other commercial purposes unrelated to education.
We will not disclose personally identifiable information from student records to other parties without the explicit authorization of the school or as required by law.
CHANGES TO THIS PRIVACY POLICY
In addition to modifying this Privacy Policy and updating the effective date, we will contact you (either through the product or otherwise) to gain your consent if we change or modify the practices in which data is collected.
